Notice regarding the conclusion of a business integration agreement and share transfer

　GMO TECH, Inc. (CEO: Akito Suzuki, hereinafter "GMO TECH"), a GMO Internet Group company that provides online customer acquisition services, and DesignOne Japan, Inc. (President and CEO: Yasuo Takabatake, hereinafter "DesignOne") today signed an agreement to establish a joint holding company and integrate their operations, based on a resolution of the board of directors of both companies.
　This transaction is scheduled to become effective on Wednesday, October 2025, 7, following approval at GMO TECH's extraordinary general meeting of shareholders and general meeting of class shareholders of common shareholders scheduled for Wednesday, July 30, 2025, as well as DesignOne's extraordinary general meeting of shareholders.

[Background and purpose of business integration through joint share transfer]
　GMO TECH is committed to providing MEO services through its in-house developed services that utilize the latest technology.^{(* 1)}・SEO^{(* 2)}・We are engaged in a customer acquisition support business using online advertising. In July 2020, we established our consolidated subsidiary, GMO ReTech, Inc., and entered the real estate tech field. Furthermore, in January 7, we established a Korean subsidiary, GMO-Z.com TECH KR, Inc., and are accelerating the global expansion of our affiliate business.
　Design One operates "Ekiten," Japan's largest online store search site with user reviews, and provides customer attraction support services to small and medium-sized businesses. In addition, as a new business, they are collaborating with Vietnamese system development company Nitro Tech Asia Inc. Co. Ltd. and domestic development base E-Networks Co., Ltd. to develop a digital transformation support business that supports business efficiency and IT implementation.

　The two companies have agreed to integrate their businesses for the following reasons:

1. By linking the MEO services "MEO Dash! byGMO" and "MEO Dashboard byGMO" provided by GMO TECH with the review site "Ekiten" operated by Design One, it will be possible to leverage the strengths of both companies to help attract customers.
② Through personnel exchanges and financial collaboration between the two companies, activities as a consolidated corporate group can be optimized.
3) The business integration is expected to further accelerate the two companies' independent growth (organic growth) and growth through external collaboration (inorganic growth).

　Through this business integration, DesignOne will become a member of the GMO Internet Group. In addition to collaborating with GMO TECH, the company will promote new growth strategies by leveraging synergies with group companies.

(*1) An abbreviation for "Map Engine Optimization," this refers to measures to improve the search ranking of a store page on Google Maps. This refers to measures taken to aim for a higher ranking in the search results on the Google search results screen and Google Maps when a keyword is searched on Google.
(*2) An abbreviation for "Search Engine Optimization," which refers to adjusting the structure and description of a website so that a specific website appears higher in search results.

[How to transition to a holding company structure]
　The two companies will establish a joint holding company, GMO TECH Holdings, Inc., through a joint share transfer and transition to a holding company structure. As a result, GMO TECH and Design One will become wholly owned subsidiaries of the joint holding company and will be delisted.
　The new shares of the joint holding company to be issued to shareholders of both companies will apply for a technical listing on the Tokyo Stock Exchange and are scheduled to be listed on the Tokyo Stock Exchange's Growth Market, so the plan is to effectively maintain the listing of the shares.
